Terms of Service

You must be at least 18 years of age to use the Platform. By using the Platform you represent and warrant that you are 18 years of age or older and that you have the full legal capacity to enter into a binding contract. If you are in a jurisdiction where the age of majority is higher than 18, you must meet that higher age requirement. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms. We do not knowingly permit individuals under 18 to create accounts; if we become aware that a user is under 18, we will terminate their account immediately.

2.1 Registration. You may need to create an account to access certain features. You agree to provide accurate, current, and complete information and to update it promptly if it changes.

2.2 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

2.3 One Account Per Person. You may not create or operate more than one personal account. We reserve the right to merge or terminate duplicate accounts.

DozyTech is an AI tool marketplace and community platform. We provide:

• A directory of AI tools submitted by users and curated by our team.
• A seller program allowing approved sellers to list tools for sale or promotion.
• A freelancer marketplace for AI-related services.
• A community forum (“The Grid”) for discussion and knowledge sharing.
• Blog and educational content.
• Messaging, follow, and other social features.

4.1 Your Content. You retain ownership of content you post to the Platform (“User Content”), including tool listings, forum posts, reviews, profile information, and messages.

4.2 License to DozyTech. By posting User Content, you grant DozyTech a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting purposes only), distribute, and display your User Content in connection with operating and improving the Platform.

4.3 Content Standards. You agree not to post User Content that:

• Is false, misleading, or fraudulent.
• Violates any third party's intellectual property, privacy, or other rights.
• Is defamatory, obscene, harassing, abusive, or hateful.
• Promotes illegal activity or violates any applicable law.
• Contains malware, viruses, or other harmful code.
• Constitutes spam or unsolicited commercial communications.

4.4 Removal. We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful to the Platform or its users.

5.1 Application. To sell tools on the Platform, you must apply through our seller program and be approved by our team. Approval is at our sole discretion.

5.2 Seller Obligations. Approved sellers agree to:

• Provide accurate, complete, and non-misleading descriptions of all listed tools.
• Own or have the right to sell or promote all listed tools.
• Comply with all applicable laws, including consumer protection and tax laws.
• Fulfill all orders promptly and honor stated refund policies.
• Not engage in price manipulation, fake reviews, or other deceptive practices.

5.3 Fees and Payouts. Platform fees, revenue share percentages, and payout schedules are described in the Seller Agreement provided upon approval. We reserve the right to update fees with 30 days' notice.

5.4 Taxes. Sellers are solely responsible for determining and remitting all applicable taxes on their sales. DozyTech may collect and remit certain taxes as required by law.

5.5 Suspension. We may suspend or terminate a seller's account for policy violations, chargebacks, fraud, or other conduct we deem harmful to the Platform.

6.1 Payment Processing. All payments are processed by Stripe. By making a purchase, you agree to Stripe's Terms of Service.

6.2 Refunds. Refund eligibility depends on the individual seller's stated policy. DozyTech may intervene in disputes at its discretion. Digital goods are generally non-refundable once delivered unless the product materially differs from its description.

6.3 Chargebacks. Initiating a fraudulent chargeback is a violation of these Terms and may result in account suspension.

The freelancer marketplace facilitates connections between clients and service providers. DozyTech is not a party to any freelancer engagement and makes no warranty as to the quality, legality, or safety of services provided. Disputes between clients and freelancers must be resolved between the parties, though DozyTech may offer mediation support at its discretion.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of these Terms.
• Scrape, crawl, or use automated means to access the Platform without our written consent.
• Attempt to gain unauthorized access to any part of the Platform or another user's account.
• Interfere with or disrupt the integrity or performance of the Platform.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Use the Platform to send unsolicited messages or spam other users.
• Impersonate any person or entity or misrepresent your affiliation.
• Post false or misleading reviews or ratings.
• Circumvent or manipulate our fee or revenue share structure.

9.1 Our Property. The Platform, including its design, code, branding, logos, and non-user-generated content, is owned by or licensed to DozyTech and protected by intellectual property laws. You may not use our intellectual property without prior written consent.

9.2 Copyright Infringement. If you believe content on the Platform infringes your copyright, please send a DMCA notice to [email protected] with: (a) identification of the copyrighted work, (b) identification of the infringing material and its location, (c) your contact information, (d) a good-faith statement, and (e) a statement of accuracy under penalty of perjury.

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT ENDORSE, WARRANT, OR ASSUME RESPONSIBILITY FOR ANY TOOL, SERVICE, OR CONTENT PROVIDED BY THIRD PARTIES ON THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOZYTECH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DOZYTECH IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

You agree to defend, indemnify, and hold harmless DozyTech and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity.

14.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

14.2 Informal Resolution. Before filing any formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

14.3 Arbitration. Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall be conducted in English. You and DozyTech waive any right to a jury trial or to participate in a class action.

14.4 Exception. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

We may suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Sections 4.2, 9, 11, 12, 13, and 14 survive termination. You may delete your account at any time through your account settings.

We may update these Terms periodically. When we make material changes, we will notify you by email or prominent in-Platform notice at least 30 days before the change takes effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

Entire Agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and DozyTech regarding the Platform.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms freely.
